These terms of use (together with the documents referred to in them) tell you the terms on which you may make use of Adthena AdBridge. Please read these terms of use carefully before you start to use Adthena AdBridge, as these will apply to your use of the service. By using Adthena AdBridge, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these terms of use, you must not use Adthena AdBridge. These terms of use also refer to our Privacy Policy, which also applies to your use of Adthena AdBridge and sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using Adthena AdBridge, you consent to such processing. We may revise these terms of use at any time by amending this page. Please check this page from time to time to take notice of any changes we made, as they are binding on you.

Adthena AdBridge (“the Service”) provides analytical insights into ChatGPT Ads campaigns using data from your connected Google Ads accounts. The Service generates ChatGPT Ads-compatible exports based on your existing Google Ads campaign data.
The Service is provided on an “as-is” and “as-available” basis. Adthena makes no representations or warranties regarding the accuracy, completeness, or reliability of any analysis, recommendation, or exported data. Use of the Service does not guarantee any improvement in campaign performance, cost efficiency, or advertising outcomes. Although we make reasonable efforts to ensure the accuracy of the information provided, we make no representations, warranties or guarantees, whether express or implied, that the content or outputs are accurate, complete or up-to-date.
The Service accesses your Google Ads account in read-only mode. No modifications will be made to your campaigns, budgets, or account settings. Data retrieved is used solely for generating the ChatGPT Ads migration export and is not shared with third parties beyond what is necessary to provide the Service.
By using the Service, you acknowledge that ChatGPT Ads is an evolving platform. Adthena reserves the right to contact you via email when significant functionality changes occur to ensure you are aware of the latest version of AdBridge. You may opt out of marketing communications at any time.
We may update Adthena AdBridge from time to time, and may change the content and functionality at any time. However, please note that any of the content on Adthena AdBridge may be out of date at any given time, and we are under no obligation to update it. Furthermore, we do not guarantee that Adthena AdBridge, or any content on it, will be free from errors or omissions.
Adthena AdBridge is made available free of charge. We do not guarantee that Adthena AdBridge, or any content on it, will always be available or be uninterrupted. Access to Adthena AdBridge is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of Adthena AdBridge without notice. We will not be liable to you if for any reason Adthena AdBridge is unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to have access to Adthena AdBridge. You are also responsible for ensuring that all persons who access Adthena AdBridge through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.
We are the owner or the licensee of all intellectual property rights in Adthena AdBridge, including but not limited to its software, algorithms, data models, analytical methodologies, user interface designs, and all material published on or generated by it. Those works are protected by copyright laws, trade secret protections, and international treaties. All such rights are reserved. You may use exported data solely for your own internal advertising purposes but may not redistribute, sublicence, or make available the Service itself or any part of its underlying technology to any third party. You must not modify any materials generated by Adthena AdBridge in a way that misrepresents their origin, and our status as the authors of content on Adthena AdBridge must always be acknowledged. You must not use any part of the content on Adthena AdBridge for commercial redistribution purposes without obtaining a licence to do so from us. You must not, and must not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, data models, or underlying methodologies of Adthena AdBridge or any of its outputs; (b) copy, reproduce, or create derivative works based on the Service, its technology, or its proprietary processes; (c) scrape, systematically extract, or harvest data from Adthena AdBridge by automated or manual means for the purpose of building a competing product or service; or (d) benchmark, analyse, or monitor the Service for the purpose of replicating its functionality. Any breach of this clause shall constitute a material breach of these terms. You acknowledge that any unauthorised use, reverse engineering, copying, or systematic extraction of the intellectual property embodied in Adthena AdBridge may cause irreparable harm to Adthena Ltd and shall give rise to unlimited liability on the part of the infringer, including but not limited to damages, costs, loss of profits, and equitable relief. Adthena reserves the right to pursue all available legal remedies, including injunctive relief, without limitation and without the requirement to prove actual damages. If you use Adthena AdBridge in breach of these terms of use, your right to use Adthena AdBridge will cease immediately.
By connecting a Google Ads account to Adthena AdBridge, you represent and warrant that: (a) you have the necessary authority, rights, and permissions to access and use that account and its associated data in connection with the Service; (b) if you are acting on behalf of an organisation, business, or domain owner, you are duly authorised by that entity to connect the account and accept these terms on its behalf; and (c) your use of the Service in connection with the connected account does not violate any applicable law, regulation, or agreement with any third party. You agree to indemnify, defend, and hold harmless Adthena Ltd, its officers, directors, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with: (i) your connection of an account for which you did not have proper authorisation; (ii) any breach of the representations and warranties in this clause; or (iii) any third-party claim that your use of the Service infringed upon or violated the rights of that third party.
The content on Adthena AdBridge is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content or outputs from Adthena AdBridge.
Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law. To the extent permitted by law, we exclude all conditions, warranties, and representations or other terms which may apply to Adthena AdBridge or any content on it, whether express or implied. We will not be liable to any user of Adthena AdBridge for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, Adthena AdBridge, or use of or reliance on any content, outputs, or exported data. We will not be liable for: loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.
We do not guarantee that Adthena AdBridge will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform in order to access Adthena AdBridge. You should use your own virus protection software. You must not misuse Adthena AdBridge by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to Adthena AdBridge, the server on which it is hosted, or any server, computer or database connected to it. You must not attack Adthena AdBridge via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use Adthena AdBridge will cease immediately.
Where Adthena AdBridge contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources.
Adthena may suspend or terminate your access to Adthena AdBridge at any time, without prior notice, for any reason, including breach of these terms. Upon termination, your right to use the Service ceases immediately.
These terms of use, their subject matter and formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
